Our client, a prominent AmLaw 100 firm, is seeking a Securities Litigation Associate Attorney to join their nationally-recognized Securities Litigation Practice Group. This is an outstanding opportunity to work on high-profile securities disputes, regulatory matters, and internal investigations for some of the world's leading technology and life sciences companies. The role is available in multiple locations, with a preference for the firm's San Francisco or Silicon Valley office.

Candidate Profile

• JD from a top-tier law school with a strong academic record.
• Bar admission in the relevant jurisdiction, or eligibility to sit for/waive into the next bar exam.
• 4+ years of substantive experience in securities litigation.
• Strong background in handling securities class actions, derivative suits, and merger litigation.
• Experience conducting internal investigations and advising on regulatory and white-collar defense matters.
• Excellent legal research, writing, and oral advocacy skills.
• Ability to manage complex cases, collaborate with cross-functional teams, and communicate effectively with clients.

Key Responsibilities

• Represent issuers, directors, and officers in securities class actions, derivative suits, and merger-related litigation.
• Conduct internal investigations involving allegations of accounting fraud, whistleblower claims, and anti-bribery violations.
• Defend companies and individuals in DOJ and SEC investigations and regulatory proceedings.
• Draft motions, pleadings, and legal memoranda with precision and strategic insight.
• Take and defend depositions, prepare witnesses, and argue motions in state and federal courts.
• Work closely with senior attorneys on case strategy and trial preparation.

Compensation & Benefits

• Annual Salary ranging from $310,000 to $445,000, as determined by experience and market factors.
• Eligibility to earn discretionary performance-based bonuses.
